How can I find out the number of ROSSETI shares owned by former shareholders of RAO UES of Russia?

You can calculate the number of shares owned by a former shareholder of RAO UES of Russia by using the calculator posted on the Company’s website in the subsection “For former shareholders of RAO UES of Russia. Calculators” of the section “Investors.”

The former website of RAO UES of Russia also contains an investor calculator.

After you enter the necessary information, the calculator will show the companies whose shares you hold due to the reorganization of RAO UES of Russia and will calculate the number of your shares.

After that, you should contact the registrar of the relevant company to obtain an extract from the register of registered securities, specifying the quantity, type, and par value of your shares and your accrued dividends.

How can I make sure that I am a ROSSETI shareholder and find out the exact number of shares that I own?

In accordance with Article 46 of the Federal Law “On Joint-Stock Companies,” the rights to shares are confirmed by issuing an extract from a company’s shareholder register.

You can obtain an extract from the ROSSETI shareholder register by contacting ROSSETI’s registrar, namely STATUS Registration Company.

Upon request from a shareholder, STATUS Registration Company will issue an extract from the register of registered securities holders, specifying the quantity, type, and par value of shares and accrued dividends.

What should a shareholder do to make changes to the register of registered securities holders?

To make changes to the register of ROSSETI registered securities holders, a shareholder should contact the Company’s registrar, namely STATUS Registration Company (address: 109544, Moscow, ul. Novorogozhskaya, 32/1, telephone: +7 (495) 974-83-50, fax: +7 (495) 687-71-10).

What is the procedure for the inheritance of ROSSETI shares?

Any heir acquires ownership of ROSSETI shares transferred by virtue of inheritance after the transfer of ownership of securities by virtue of inheritance is registered on the shareholder register.

In order for such transfer to be registered on the shareholder register, the Company’s registrar should be provided with the original or a notarized copy of an inheritance certificate and an identity document.

How can I buy/sell ROSSETI shares?

ROSSETI shares can be sold as follows:

1) You can enter into an exchange transaction agreement with a broker. Your broker will act as an intermediary only, while you will be the direct owner of shares.

2) You can opt to agree with a buyer/seller by yourself and issue a transfer order to STATUS Registration Company. In this case, the share price will depend on what is agreed upon between the parties to the transaction.

Where can I find out the share market price?

The price of exchange-traded shares may change every day. Information about the ROSSETI share price is published on the Company’s website and on the MICEX Stock Exchange website.

How are dividends paid?

Any decision to pay dividends should be approved by the General Meeting of Shareholders. Any such decision should specify the amount of dividends on shares of each category, the dividend payment method in kind, and the date on which the persons entitled to dividends are determined (not earlier than 10 days after any decision to pay dividends is adopted and not later than 20 days after any such decision).

The Company should pay dividends to a nominee holder and an asset manager that is a professional securities market participant registered on the shareholder register within 10 business days and, in the case of other persons registered on the shareholder register, 25 business days after the date on which the persons entitled to dividends are determined.

Who is entitled to dividends?

Paragraph 4 of Article 42 of the Federal Law “On Joint-Stock Companies” grants the right to receive dividends to the shareholders that own shares on the date of the list of the persons entitled to dividends. The date of the list of the persons entitled to dividends is determined by the General Meeting of Shareholders deciding on dividend payment and may not be earlier than 10 days after the date of such decision to pay dividends or later than 20 days after the date of such decision.

What is ROSSETI GDRs? Where can I find out the GDR market price?

GDRs, or global depositary receipts, represent ownership of ROSSETI shares outside the Russian Federation. Depositary receipts ensure access of foreign investment in ROSSETI securities and can be purchased on the London Stock Exchange or from the Depositary Bank. One GDR represents 200 ROSSETI shares. GDRs are issued by the Depositary Bank, namely BNY Mellon. Information on the GDR market price and other trading data are published on the London Stock Exchange website.
